1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Agency," or "you") and Telescope ("Telescope," "we," "our," or "us") governing your access to and use of the Telescope web platform, iOS application, Android application, and all related services (collectively, the "Services").

By creating an account, downloading our mobile application, or otherwise using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Services.

2. Description of Services

Telescope provides an all-in-one home care agency management platform that includes:

  • Electronic Visit Verification (EVV) with GPS-based clock-in/clock-out
  • Caregiver scheduling and client management
  • Billing, invoicing, and payroll integrations
  • Family and client portals
  • HIPAA-compliant messaging and documentation
  • Caregiver hiring, onboarding, and HR tools (TelescopeHR)
  • Reporting, analytics, and KPI dashboards
  • Mobile applications for iOS and Android

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice.

3. Eligibility

The Services are intended for use by home care agencies and their authorized personnel, including administrators, schedulers, caregivers, and authorized family members of clients. You must be at least 18 years old to create an account. By using the Services, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity and authority to enter into these Terms.
  • Your use of the Services complies with all applicable laws and regulations.
  • You will maintain the confidentiality of your account credentials.

4. Account Registration and Security

To access most features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password secure and confidential.
  • Notify us immediately of any unauthorized use of your account at hello@telescopehr.com.
  • Accept responsibility for all activities that occur under your account.

Agency administrators are responsible for managing access permissions for all users within their organization. Telescope is not liable for any loss resulting from unauthorized account access that results from your failure to secure your credentials.

5. Subscription Plans and Payment

5.1 Plans

Telescope offers subscription plans including Starter ($149/month, up to 25 clients), Growth ($299/month, up to 75 clients), and Enterprise (custom pricing). Plan details and pricing are subject to change with 30 days' advance notice.

5.2 Billing

Subscriptions are billed monthly or annually in advance. You authorize Telescope to charge your payment method on file on each billing date. All fees are in U.S. dollars. Taxes may apply depending on your location.

5.3 Free Trial

Telescope may offer a free trial period. No credit card is required to start a trial. At the end of the trial, you may choose a paid plan to continue using the Services. We reserve the right to modify or terminate trial offers at any time.

5.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the Services through the end of your current billing period.

5.5 Cancellation

You may cancel your subscription at any time with 30 days' written notice to hello@telescopehr.com or through your account settings. Cancellation does not entitle you to a refund of fees already paid.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services in violation of any applicable federal, state, or local law or regulation, including HIPAA.
  • Submit false, misleading, or fraudulent information, including falsified EVV clock-in/out records.
  • Attempt to gain unauthorized access to any portion of the Services or any other system or network.
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the Services.
  • Upload or transmit viruses, malware, or other malicious code.
  • Scrape, harvest, or systematically download data from the Services without prior written consent.
  • Use the Services to transmit spam, unsolicited communications, or harassing content.
  • Resell or sublicense the Services to third parties without our express written consent.
  • Interfere with or disrupt the integrity or performance of the Services.

Violation of these restrictions may result in immediate suspension or termination of your account.

7. HIPAA and Healthcare Compliance

Telescope is designed for use in the healthcare industry. You acknowledge and agree that:

  • You are solely responsible for ensuring your use of the Services complies with HIPAA, your state's Medicaid EVV requirements, and all other applicable healthcare laws and regulations.
  • Telescope will enter into a Business Associate Agreement (BAA) with agencies that qualify as Covered Entities under HIPAA. Please contact us to execute a BAA before uploading any Protected Health Information (PHI).
  • You are responsible for obtaining all necessary patient/client authorizations and consents required by applicable law.
  • You will promptly notify us of any suspected data breaches or security incidents involving PHI transmitted through our Services.

8. Mobile Application — Platform-Specific Terms

Apple App Store

If you download our iOS application from the Apple App Store, the following additional terms apply: (a) these Terms are between you and Telescope only, not Apple; (b) Apple has no obligation to provide any maintenance or support for the app; (c) in the event of any product liability claims, Apple is not responsible; (d) Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play Store

If you download our Android application from the Google Play Store, these Terms are between you and Telescope only, and Google is not a party to these Terms. Google has no obligation or liability with respect to our application or these Terms.

Location Permission

Our mobile application requests access to your device's location for EVV clock-in and clock-out functionality. Location access is used only at the moment of a clock event. We do not track your location continuously or in the background. You may revoke location permissions at any time in your device settings; however, doing so will disable EVV functionality and may affect Medicaid compliance requirements.

9. Intellectual Property

The Services, including all software, interfaces, content, logos, trademarks, and documentation, are owned by Telescope and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms.

You retain ownership of all data you upload to the Services ("Agency Data"). You grant Telescope a limited license to process Agency Data solely to provide and improve the Services. We will not use Agency Data for any other purpose without your consent.

10. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of data as described in the Privacy Policy.

11. Third-Party Integrations

The Services integrate with third-party platforms including QuickBooks, ADP, Paychex, Viventium, HHAeXchange, Sandata, Tellus, CareBridge, and job boards. Your use of these integrations may be subject to the third party's own terms of service and privacy policies. Telescope is not responsible for the practices or content of third-party services.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LAUNCHTELESCOPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

LAUNCHTELESCOPE DOES NOT PROVIDE LEGAL, MEDICAL, OR COMPLIANCE ADVICE. YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR AGENCY'S COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS, INCLUDING HIPAA AND STATE MEDICAID EVV REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAUNCHTELESCOPE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT WILL LAUNCHTELESCOPE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO LAUNCHTELESCOPE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Telescope and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your Agency Data or content.

15. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Services. We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 9, 12, 13, 14, 16, and 17.

Following account termination, we will retain your Agency Data in accordance with our Privacy Policy and applicable legal requirements. You may request export of your data prior to termination by contacting hello@telescopehr.com.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters or violations of data security obligations.

You agree to resolve disputes with Telescope on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Changes to These Terms

We may revise these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and by sending an in-app notification or email. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any executed BAA, constitute the entire agreement between you and Telescope regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure: We will not be liable for any failure or delay caused by circumstances beyond our reasonable control.
